Structural Design

SPV-Backed Vaults

Every CreditVault maps 1:1 to an off-chain SPV/LLC entity with legal entity registration.

Dual-Gate Access

Write operations require both KYC/KYB verification AND 500k SYN bonding. Neither gate alone is sufficient.

On-chain / Off-chain Boundary

Smart contracts enforce state transitions. Legal interpretation and dispute resolution remain off-chain.

Governance & Safety

Phased Governance

3/5 team multi-sig at launch → 5/9 with external signers at 6 months → full governance at 12 months.

Servicer Role

Authorized agent reports payments, flags delinquency, and distributes waterfall — bridging on-chain state with off-chain reality.

Oracle Scope

SYN-QUASAR Oracle is restricted to token pricing and Proof-of-Reserve. NOT used for credit liquidation triggers.

Credit Infrastructure

CreditVault Isolation

Each credit facility operates in its own vault with isolated accounting. No cross-vault contagion.

FSM Lifecycle

7-state credit lifecycle: Draft → Penned → Capitalized → Active → Defaulted → Liquidating → Closed.

Waterfall Settlement

Repayments follow strict waterfall: Senior tranches → Junior tranches → Protocol fees.

Agentic Finance Module (Phase II)

Closed-Circuit Transfers

AI agents can ONLY move funds to whitelisted agent addresses pre-registered on-chain. Zero external withdrawals.

Delegated Execution

Users grant scoped session keys: allowed tokens, max trade size, spending caps, time limits. Revocable in 1 transaction.

ZKML Verification

Every agent action generates a zero-knowledge proof that execution matched the programmed strategy. Full auditability.
